1. Introduction & Definitions
This Export Partner Agreement ("Agreement") is entered into between:
- CaaR Limited, a Jamaican company at Mayfield Boulevard, Southfield PO Box, St Elizabeth, Jamaica, West Indies("CaaR");
- Export Partner, the entity completing onboarding ("Partner").
Effective Date: The date on which Partner accepts this Agreement.
2. Scope of Services
Partner shall arrange inspection, preparation, loading, and international shipment of Export Inventory per CaaR specifications, prepare all Export Documents, and provide tracking updates.
3. Service Levels & Performance Standards
Pickup within 5 business days; delivery to port within 7 business days; 100% documentation accuracy; 24-hour response on business days.
4. Fees & Payment Terms
CaaR pays JMD [X] per vehicle plus shipping costs. Invoices monthly; payment due within 15 business days. Disputes raised within 10 business days.
5. Liability & Indemnification
Partner to maintain cargo insurance; liability capped at total fees paid in past 12 months; indemnifies CaaR for breaches.
6. Data & Confidentiality
Partner uses CaaR data solely for services and maintains confidentiality of all non-public information.
7. Intellectual Property
Partner may use CaaR trademarks per brand guidelines for service performance and marketing.
8. Termination & Suspension
Term effective until 30-day notice; cause includes performance failure; outstanding fees due; complete in-transit shipments.
9. Dispute Resolution & Governing Law
Mediation under Jamaican Arbitration Act, then binding arbitration in Kingston; governed by Jamaican law.
10. Amendments & Notices
CaaR may amend with 15 days’ notice; notices in writing to onboarding contact details.
