    Dealer Agreement

    1. Introduction & Definitions

    This Dealer Agreement ("Agreement") is entered into between:

    • CaaR Limited, a Jamaican company at Mayfield Boulevard, Southfield PO Box, St Elizabeth, Jamaica, West Indies ("CaaR");
    • Dealer, the entity completing onboarding ("Dealer").

    Effective Date: The date on which Dealer accepts this Agreement.

Grant of Access.CaaR hereby grants Dealer a non‑exclusive, revocable license to access and use the Platform solely to list, market, and sell vehicles in accordance with this Agreement.2.2. Dealer Obligations.Dealer represents and warrants that:It is duly licensed (if required) under Jamaican law to sell used and/or new motor vehicles.All vehicle titles and paperwork are secure, accurate, and free of liens (except as disclosed).It will comply with all applicable laws, regulations, and CaaR policies when using the Platform.2.3. Territory & Language.Dealer may list vehicles for sale only within Jamaica and in English. Any expansion into other territories or languages requires CaaR’s prior written consent.3. Listing Requirements3.1. Vehicle Data Standards.Dealer must provide for each Listing:Clear, high‑resolution photos (minimum 6 angles).Accurate Vehicle Identification Number (VIN).True mileage, make, model, year, and trim.Comprehensive description of condition, including damage or modifications.3.2. Prohibited Vehicles.Dealer shall not list:Vehicles declared total loss or beyond economic repair (undisclosed salvage).Stolen, illegal, or prohibited makes/models under Jamaican law.3.3. Sale Options.Dealer may choose between:Buy Now: fixed price sale immediately purchasable by buyers.Make Offer: open to negotiated offers for at least 7 calendar days.3.4. Listing Duration & Renewal.Default listing term is 30 days.Dealer may renew any Listing before expiration.Expired Listings may incur a relisting fee as set on the Platform.4. Fees, Payments & Commission4.1. Commission Rates.CaaR charges a Commission of 3.5% of Gross Sale Price for each completed transaction.4.2. Billing & Invoicing.Commissions are invoiced weekly on Fridays.Dealer agrees to pay all invoices within 7 business days.4.3. Payment Methods & Holds.Payments made via bank transfer or credit card.CaaR may place a temporary hold on funds until transfer of ownership is confirmed.4.4. Refunds & Chargebacks.In case of valid chargebacks or cancellations, Dealer remains liable for Commission and associated fees.5. Performance Standards5.1. Listing Quality.Dealer agrees to maintain at least a 90% compliance rate with data standards (photos, descriptions).5.2. Inquiry Response.Dealer commits to respond to buyer inquiries within 24 business hours.5.3. Delivery Coordination.Dealer shall coordinate vehicle pickup or delivery within 5 business days of sale confirmation.6. Data Rights & Privacy6.1. Ownership.Dealer retains ownership of all data and content provided, subject to the license granted in Section 6.2.6.2. License to CaaR.Dealer grants CaaR a non‑exclusive, royalty‑free license to display, reproduce, and distribute Listing data for Platform operations and marketing.6.3. Privacy Compliance.Dealer agrees to handle buyer personal data in line with CaaR’s Privacy Policy and applicable law.7. Liability & Indemnification7.1. Limitation of Liability.Neither party shall be liable for indirect, incidental, or consequential damages exceeding total Commission paid in the prior 12 months.7.2. Indemnification.Dealer shall indemnify and hold harmless CaaR from any claims arising from:Inaccurate Listings.Breach of third‑party rights.Violation of law or regulation.8. Intellectual Property8.1. Trademarks & Logos.Dealer may use CaaR’s trademarks only as permitted in CaaR’s brand guidelines.8.2. Dealer Branding.CaaR may display Dealer’s logos and trade names alongside Listings and promotional materials.9. Termination & Suspension9.1. Term & Renewal.This Agreement remains in effect until terminated by either party with 30 days’ written notice.9.2. Termination for Cause.CaaR may suspend or terminate if Dealer:Violates Listing requirements.Fails to pay fees when due.Engages in fraudulent or illegal activity.9.3. Effect of Termination.Outstanding fees remain payable. CaaR may remove all active Listings.10. Dispute Resolution & Governing Law10.1. Mediation & Arbitration.Parties agree to first attempt mediation under Jamaican Arbitration Act. If unresolved within 60 days, disputes will be arbitrated in Kingston, Jamaica.10.2. Governing Law.This Agreement is governed by the laws of Jamaica.

    11. Miscellaneous

    11.1. Amendment.CaaR may amend this Agreement by providing 15 days’ notice. Continued use constitutes acceptance.11.2. Notices.All notices must be sent to the contact emails provided during onboarding.11.3. Entire Agreement.This document, together with any referenced policies, constitutes the entire agreement between the parties.
